Overview

These Terms and Conditions ("Terms") govern your access to and use of the Mantis platform, operated by Amalytic ("we", "us", "our"). By registering for or using the Mantis platform, you agree to be bound by these Terms in full. If you do not agree, you must not use the platform.

These Terms are governed by and construed in accordance with the laws of England. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England.

Definitions

• Platform — the Mantis software and associated services provided by Amalytic.
• DSP Operator — the business entity that registers for and holds a Mantis subscription.
• Authorised User — any individual granted access to the platform by the DSP Operator.
• Subscription — the monthly rolling access to the platform under the tier selected at registration.
• Trial Period — the seven-day free access period granted to new registrants prior to any charge being made.

Eligibility & Registration

Access to the Mantis platform is available to DSP operators who complete the registration process and agree to these Terms. By registering, you confirm that you have the authority to enter into these Terms on behalf of your business.

You are responsible for ensuring that all information provided during registration is accurate and kept up to date. Amalytic reserves the right to suspend or terminate access where registration information is found to be false or misleading.

Trial Period

New registrants are granted a seven-day free trial period beginning on the date of registration. During the trial, access is provided to the platform features available under the selected subscription tier at no charge.

These Terms apply in full during the trial period. At the end of the trial, your subscription will convert to a paid monthly plan unless you cancel before the trial period expires. No charge will be made during the trial period itself.

Subscription & Payment

Following the trial period, access to the Mantis platform is provided on a monthly rolling subscription basis. Subscriptions are billed monthly in advance. There is no minimum contract term — you may cancel at any time.

Cancellation takes effect at the end of the current billing period. You will retain access to the platform until that date. No refunds are issued for partial billing periods.

Amalytic reserves the right to adjust pricing with a minimum of 30 days' written notice. Continued use of the platform following a pricing change constitutes acceptance of the new pricing.

Authorised Users

The DSP Operator is responsible for managing who is granted access to the platform. Access may be extended to individuals who are employed by or formally represent the DSP Operator's business. The DSP Operator must not grant access to any individual who does not represent the business in an official capacity.

The data accessible within the platform relates to the DSP Operator's operations and to the drivers they employ or engage. Granting access to any third party outside of the business — including but not limited to contractors, agencies, or other DSPs — may constitute a breach of the privacy of the drivers whose data is held within the platform. The DSP Operator accepts full responsibility for ensuring that access is granted only to appropriate individuals and that driver privacy is protected accordingly.

The DSP Operator is liable for all actions taken within the platform by their Authorised Users. Amalytic accepts no responsibility for unauthorised access resulting from credentials being shared outside of the business.

Decisions Made Using Platform Data

The Mantis platform provides performance data, analytical insights, and operational recommendations to assist DSP operators and their management teams. All decisions made on the basis of information presented within the platform — including but not limited to decisions relating to driver performance, route allocation, coaching, or employment — are made solely at the discretion of the DSP Operator.

DSP operators are solely responsible for ensuring that any decisions made using platform data comply with applicable employment law, data protection legislation, and any obligations owed to their drivers.

Acceptable Use

By using the Mantis platform, you agree to use it only for its intended purpose of managing and analysing DSP operational performance. You must not:

• Use the platform for any unlawful purpose or in any way that violates applicable law or regulation
• Attempt to gain unauthorised access to any part of the platform, its infrastructure, or data belonging to other customers
• Use automated tools, bots, scrapers, crawlers, or any similar technology to extract, copy, or harvest data from the platform
• Reproduce, replicate, reverse-engineer, decompile, or create derivative works based on the platform or any part of it
• Resell, sublicence, or otherwise make the platform available to any third party outside of your business
• Introduce malicious code, viruses, or any software designed to disrupt or damage the platform or its infrastructure
• Use insights, designs, or functionality observed within the platform to build or inform a competing product

Intellectual Property

All intellectual property rights in the Mantis platform — including its design, functionality, algorithms, code, and content — are owned exclusively by Amalytic. Nothing in these Terms transfers any intellectual property rights to the DSP Operator or any Authorised User.

Your subscription grants you a limited, non-exclusive, non-transferable right to access and use the platform for the purposes described in these Terms. This right does not extend to copying, replicating, or distributing any part of the platform.

Data Ownership

The operational and performance data processed through the Mantis platform remains the property of the DSP Operator. Amalytic does not claim ownership over any data submitted to or processed by the platform on the DSP Operator's behalf.

By using the platform, the DSP Operator grants Amalytic a limited licence to process, store, and present that data for the sole purpose of delivering the Mantis service. This licence terminates upon cancellation of the subscription, subject to the data retention provisions set out in our Privacy Policy.

Availability & Service Levels

Amalytic will use reasonable endeavours to maintain platform availability. However, we do not guarantee uninterrupted access and accept no liability for losses arising from periods of downtime, whether planned or unplanned.

We reserve the right to carry out maintenance, updates, or modifications to the platform at any time. Where planned maintenance is likely to cause significant disruption, we will endeavour to provide reasonable advance notice.

Limitation of Liability

To the fullest extent permitted by law, Amalytic's total liability to any DSP Operator or Authorised User — whether in contract, tort, or otherwise — shall not exceed the total subscription fees paid by that DSP Operator in the three months preceding the claim.

Amalytic shall not be liable for any indirect, consequential, incidental, or special loss, including but not limited to loss of profits, loss of revenue, loss of data, or reputational damage, even if we have been advised of the possibility of such losses.

Termination

Either party may terminate the subscription at any time. The DSP Operator may cancel via the platform or by contacting us directly. Amalytic reserves the right to suspend or permanently terminate access — with immediate effect and without refund — in any of the following circumstances:

• Non-payment of subscription fees following reasonable notice
• Breach of the acceptable use provisions in these Terms
• Use of automated tools to scrape, extract, or harvest data from the platform
• Any attempt to replicate, reverse-engineer, or reproduce the platform or any part of it
• Conduct that Amalytic reasonably considers to be abusive, harmful, or damaging to the platform, its infrastructure, or other customers
• Provision of materially false information during registration or at any point during the subscription

Upon termination, all access for the DSP Operator and their Authorised Users will cease. Data retention following termination is handled in accordance with our Privacy Policy.

Changes to These Terms

Amalytic reserves the right to update these Terms from time to time. When we do, we will update the date shown at the top of this page and notify active customers by email with a minimum of 14 days' notice before changes take effect. Continued use of the platform after that date constitutes acceptance of the revised Terms.

If you do not accept the revised Terms, you must cancel your subscription before the date on which the changes take effect.
